Article I.

Name:

Berryessa Citizens Advisory Council (BCAC)

Article II. Purpose:

To provide two-way communication between local government and the residents of San Jose Council District 4
and/or the Berryessa Union School District. The BCAC advocates for quality of life issues in our
neighborhoods. BCAC may take positions on issues but not endorse candidates.

Article III. Membership:

All adult residents, youths, and businesses and elected representatives of within District 4 and/or the
Berryessa Union School District are eligible for membership.

The Berryessa Citizens Advisory Council recognizes the importance of youth participation in our community.
We believe that our young citizens of today represent the future leaders of our community. Because of this
belief, we encourage our youth to actively participate in our organization.

Classes of Membership: There shall be three classes: Family (Adult/Youth), Adults (18+ years old), Business
and Elected Representatives.

Past members are reinstated immediately upon full payment of membership dues within a six month grace

Membership and Voting: Only members in good standing whose dues are fully paid have voting entitlement.
Voting eligibility for new family adult residents, elected representative and business members shall be based
on the payment of dues 60 days prior to voting. on an issue Only members in good standing whose dues are

eligible for one vote.

Elected representatives who are non-district residents shall be allowed one vote. Elected representatives who
are district residents are entitled to only one vote, either as a family member or as an elected representative.

Business membership is available at a cost to be determined by the voting membership annually. District
bBusiness es membership shall be entitled to one vote by the owner or designated representative. owned by

who own district businesses get only one vote either as a family member or as a business.

The general membership shall vote on policy issues and position letters except on time sensitive matters as
determined by the BCAC Board of Directors.

Article IV. Officers:

Officers shall be elected from the general membership. The officers shall consist of a president, vice-
president, recording secretary, corresponding secretary, treasurer, and four members-at-large. One  Two
youth members-at-large and the most recent past-president who wants to serve on the board will be
determined at the beginning of each year.

The general membership shall determine the need and define the duties for additional officers. These officers
shall then be chosen from the general membership and elected by that membership. When a need for new
officers is determined and duties defined, the office and duties shall become part of the constitution by
amendment.

The BCAC Board of Directors shall appoint a  the two youths (14-17 years old) as a  members of the BCAC
Board and shall be ratified by the general membership. The  Each youth could be a child of a BCAC family
member or a youth sponsored and dues paid for by a BCAC member. He/she must be a resident of San Jose
Council District 4 and/or the Berryessa Union School District. The youths can serve only as a  Members-at-
Large on the BCAC Board.

A. Term of Office: The term for officers of the organization shall be one year. A nominations committee shall
be selected by the BCAC Board and the president shall appoint one of the members as chairperson in
November October. They The nominating committee shall present introduce the names of the nominees in
November and present a slate of officers for election at the December meeting. Additional nominations may be
made from the floor. An election shall be held at that December meeting. Officers shall assume their
responsibilities immediately after the December meeting adjourns.

B. Duties of Officers: The president shall preside at all meetings. The president shall have the power to
appoint or remove committee chairs man subject to ratification by a majority vote of the BCAC Board. The
president shall appoint officers to fill out an unexpired term of a vacated office subject to ratification by a
majority of members present at the earliest regular meeting. The president or presiding officer, in the absence
of the president, shall vote only in the case of a tie in general meetings or executive board meetings.

The vice-president shall assume the duties of the president during the president's absence. If the office of the
president becomes vacant, the vice-president shall become president. The order of succession shall be
President, Vice-President, Treasurer, Recording Secretary, and Corresponding Secretary.

The recording secretary shall be responsible for all internal BCAC records, keep minutes of all meetings,
runoff and distribute the newsletter and notify all members of meetings. ..

TheThe corresponding secretary shall generate, distribute (after authorization from the Board or President)
and archive all formal correspondence between BCAC and non-members, government officials, and other
organizations. perform all clerical duties of the organization, runoff and distribute the newsletter, keep a record
of membership attendance, and notify all members of meetings.

The treasurer shall keep an account of the income and expenditures, and report at each general meeting.
The treasurer shall keep a current membership list and keep records of membership attendance. Two officers
shall sign each check. The treasurer shall submit a yearly accounting record during the January meeting. The
accounting record shall be audited in January by a person or persons appointed by the BCAC Board of
Directors.

The past-president and members-at-large shall work on special projects and membership.

All officers are expected to attend the BCAC Board and general membership meetings.

ThThee duties of the a BCAC Youth Member-at-Large include but are not limited to the following:

*Advocate for youth programs in our community.

+Serve as BCAC liaison to BCAC and with various youth organizations and programs within the  Berryessa
area, BUSD and ESUHSD.

*Be actively involved in the Berryessa Youth Programs.

*Attend the monthly BCAC Board and general membership meetings.



The Berryessa Citizens Advisory Council recognizes the importance of youth participation in our community.

C.  Removal Proceedings: Removal from office shall be obtained by a two-thirds vote of the membership
present at a regularly scheduled meeting.

D. Committees:

Committees are formed as advisory to BCAC, thus shall give a report at each regular meeting.

Article V. Meetings:

A. General Membership meetings shall be held once a month except in July and August. Special meetings may
be called by the president provided one week's notice is given to all members. Meetings are to be conducted
according to the designated Robert’s Rules of Order. The version shall be announced at the January general
membership meeting.

B. A quorum shall consist of twelve members including one officer.

C. The BCAC may designate a portion of one of the monthly meetings each

year for a     youth activities presentation.

Article VI. Amendments: Amendments to this constitution shall be presented at a general meeting and
approved by a two-thirds vote of the members present at the general meeting.

Article VII. Dissolution: Upon the dissolution of this organization, its assets remaining after payment of, or
provision for payment of, all debts and liabilities of this organization, shall be distributed to the Parks,
Recreation and Neighborhood Services of the City of San Jose.

Mission Statement

We are a grass-roots citizen group providing information and
leadership that empowers our community in the local
governmental process.

Objectives:

I. Unify our Community:
Broaden our membership to be representative of the citizens
within San Jose's City Council District 4 and any of the Berryessa
Union School District outside District 4.

Advertise our meetings through posting fliers, participation in the
San Jose District 4 mailing list, and press releases in the
Berryessa Sun and San Jose Mercury News.

Encourage liaisons from other neighborhood organizations and
homeowner groups to attend our meetings.

II. Lead the Community:
Sponsor and co-sponsor with other groups meetings about
candidates and ballot issues, pro's and con's.

Advocate and influence at all governmental levels about
non-partisan issues of common interest.

Write letters in support or against governmental actions.

Encourage the membership to participate in volunteer capacities
and elected offices to enhance the quality of life in our area.

Solicit candidates for city commissions and boards.

Solicit volunteers for school district committees.

Invite high school leaders to attend our meetings.

III. Provide two-way communication between the
community and local governmental entities.
Provide advance information to our membership before decisions
are made.

Encourage elected officials: City, County, and State Assembly to
give us an update about current issues of interest to our
membership.

Monthly update from the San Jose Police working within our area.

Provide value add to our membership:

o Website with links to other governmental entities
o Copy of LWV (League of Women Voters) Facts for Voters
o Monthly meetings with topics of interest to our members
o Forum to meet and greet your Berryessa neighbors
